What is the standard lot of CSAN3 shares?

The standard lot corresponds to 100 common shares of Cosan S.A.

What is the difference between dividends and interest on equity?

In Brazil, according to the Brazilian Corporations Law (6,4040/76), any publicly-held company must pay to its shareholders at least 25% of its net income through dividends or interest on equity. When buying a share, the investor becomes the owner of a part of the company and, therefore, is entitled to a share of the profits earned. Dividends are received in full by the investor, i.e. net of income tax (IR), as the company has already paid taxes on the profit.

As for interest on equity, the shareholder pays withholding income tax at the rate of 15%. Companies are allowed to compensate their shareholders by paying interest on equity up to the value of the Long-Term Interest Rate (TJLP), and the amount paid is recorded as financial expense in the company’s results. This reduces taxable income, decreasing the income tax to be paid by the company.

What is the "ex-dividend" date?

It is the cutoff date in the process of distribution of dividends by the company, in which shares are traded without the right for shareholders to receive dividends. The “ex” date is always disclosed through a Notice to Shareholders.

What is the Investor Relations department?

What are the rights of Cosan’s shareholders?

Cosan shareholders have all rights guaranteed to common shares, pursuant to the Bylaws of the Company, the Brazilian Corporations Law and the Novo Mercado Regulations, such as:

Right to vote at Shareholders Meetings, with each Cosan share corresponding to one vote.

Preemptive rights, proportionally to the number of shares held, to the subscription of new shares, convertible debentures and warrants issued by the company , subject to the legal term for exercising such right.

Right to receive minimum mandatory dividend, under the terms of article 202 of the Brazilian Corporations Law.

How do I participate in a shareholders meeting of Cosan?

Currently, the legislation stipulates that publicly traded companies hold their meetings in person, hybrid mode or exclusively digital formats, without prejudice, in any of them, to the use of absentee ballot as a means to exercise the right to vote.

For each annual or extraordinary Shareholders Meeting of the company, we will disclose a call notice, under article 124 of the Brazilian Corporations Law and CVM Instruction 481/2009, informing shareholders of the date and place of the meeting, the agenda, instructions for participating and voting, as well as the format in which it will be held.

What are American Depositary Shares (ADS)?

These are receipts representing shares issued by companies that are not domiciled in the United States. In practical terms, an ADS is a tool used by investors trading on U.S. exchanges to acquire shares of companies from other countries. By purchasing ADS, the investor is not necessarily buying shares of a specific company, but rather securities representing those shares. ADSs are quoted and traded in U.S. dollars and, in the case of Cosan S.A., listed on the New York Stock Exchange (NYSE). Cosan S.A.’s ADS is NYSE: CSAN.

What type of company issues ADS?

ADS issuers are typically large companies seeking to increase their access to the international capital markets. Any company located outside the United States that wishes to increase its capital and liquidity can issue ADS.

What is an ADS ratio?

An ADS may represent one, more than one or a fraction of a share. The ratio established between the ADS issued and the underlying share is called the ADS ratio. In the case of Cosan, each issued ADS is equivalent to four common shares (a ratio of 1:4).

As a domestic investor, can I invest in ADS?

Yes. However, to buy and sell ADS, the investor needs to have an overseas account.

Who is the depositary bank for Cosan's ADS and what is its function?

The depositary bank for our ADS is J.P. Morgan Chase Bank. Financial institutions that perform this activity are responsible for the services of issue and transfer of shares for a Depositary Shares (DS) program. The bank is responsible for all services to shareholders, from registration to the payment of dividends in U.S. dollars.

What was the group’s process of corporate restructuring?

The corporate restructuring of the Cosan Group, approved on January 22, 2021 at an Extraordinary Shareholders Meeting, consisted of the merger of the shared-control companies Cosan Limited and Cosan Logística by Cosan S.A., which became the sole holding company of the group. All documents submitted to the market during the entire the process, in chronological order, are available here.

What were the exchange ratios for the mergers?

The exchange ratios for each Cosan S.A. share were 0.772788 and 3.943112 shares of Cosan Limited and Cosan Logística, respectively. These ratios were determined by independent committees established by the respective boards of directors, composed of professionals not serving as administrators of the companies, independent and without any conflict of interests, with recognized technical capacity to analyze, discuss and negotiate the fair value of each company involved in the transaction.

With the approval of the transaction, what are the next steps?

Following approval at the meeting, a 30-day period begins for the exercise of the Withdrawal Right by Cosan Logística’s shareholders, which ends at 2/23/2021, inclusive. After this date, the Board of Directors of Cosan will meet to confirm the capital increase and the number of shares issued for the merger of Cosan Logística. Then, the companies will jointly disclose a material fact notice to the market informing:

The consummation of the transaction with B3, which will be the cutoff date on which shareholders holding Cosan Logística’s shares at the closing of trading session will receive shares issued by Cosan in exchange for Cosan Log’s shares they hold, according to the previously established exchange ratio (see “What were the exchange ratios for the mergers?”).

The date of termination of trade of shares issued by CZZ and Cosan Log on NYSE and B3, respectively.

The date on which the new Cosan shares will be credited to CZZ and Cosan Log shareholders. Further, as part of the merger of Cosan Limited, Cosan will establish an ADS program that will be listed on NYSE. Shareholders holding Class A shares issued by CZZ will receive one ADS for each Cosan common share.<0} After the merger, any ADS holder may cancel such security and receive in return an equivalent number of duly issued and fully paid common shares. CZZ shareholders who express their interest in such substitution within 15 consecutive days after the merger of Cosan Limited will be exempt from paying the cancellation fee to the depositary bank.

Will you carry out an IPO for the businesses?

Although there is no timeframe set for this yet, we believe that naturally companies like Raízen and Moove will be listed on the stock exchange. The corporate restructuring ends up unlocking the current value of the companies from the Cosan Group and enabling fundraising – either through an initial public offering or through follow-on offerings, mainly by strengthening corporate governance standards and centralizing the cash flow of operations controlled and co-controlled by Cosan.

I am a shareholder of RLOG, what is the right of withdrawal?

The Withdrawal Right guarantees non-controlling shareholders, if they disagree with certain resolutions of the Shareholders Meeting, the right to withdraw from the company, receiving the book value of the shares they hold at market price.

I am a shareholder of CSAN, RLOG, CZZ, what actions do I need to take?

Cosan Logística shareholders who wish to exercise their Withdrawal Rightmost declare their interest by 2/23/2021. As for Cosan Limited shareholders, who will receive ADS, there will be a 15-day period to request, if desired, cancellation of ADRs and receipt of common shares, without a cancellation fee.
